Who in your group we work with

Four Group-Side Roles We Report Into.

We’re the UAE-side tax layer in your group’s structure. Depending on your scale, we report into one of four roles — and we adapt the engagement rhythm, deliverables and governance to fit.

01

Group Head of Tax / VP Tax

Larger groups with a Head of Tax at UPE level — we’re the UAE-side tax function reporting in. Standing calls, monthly report, board paper support.

02

CFO (where no Head of Tax)

Mid-market groups where the CFO carries tax directly. We provide the UAE-side depth the CFO doesn’t need to carry personally.

03

Group Financial Controller

For UAE compliance-focused engagements — CT return, VAT, bookkeeping, management accounts — we deliver into the group Controller’s rhythm.

04

General Counsel / Deputy CFO

For specific projects — M&A UAE-side DD, pre-exit cleanup, UAE restructuring — we work alongside the project lead on your side.

UAE in a multinational structure

Six Reasons UAE Features in Group Tax Design.

A UAE entity in a multinational group typically plays one or more defined roles. Each role carries its own UAE tax profile and group-level implications — which we design around from the start.

HQ
Role 01

Regional Headquarters

UAE regional HQ (often DIFC or ADGM) providing management, HR, finance and strategic services to the group’s MENA or wider region. QFZP qualifying activity when done to related parties with substance.

TC
Role 02

Treasury & Finance Centre

Group treasury centre — intra-group lending, FX hedging, cash pooling, external financing arrangements. QFZP qualifying activity with proper substance. Arm’s length pricing on loans and guarantees — see UAE transfer pricing.

IP
Role 03

IP Ownership & Licensing

Group IP holding entity in UAE — qualifying IP income under QFZP with modified-nexus requirement. Common for tech and SaaS multinationals with group IP. Royalty flows benchmarked to arm’s length.

SPV
Role 04

Investment Holding / SPV

Group holding company for investments, acquisitions, co-investments, real-estate interests. Participation exemption on dividends and qualifying capital gains. CFC and anti-hybrid rules in parent jurisdiction.

OP
Role 05

Operating Entity for MENA

UAE operating entity selling into the MENA region — mainland or Designated Zone for UAE VAT. Standard 9% UAE Corporate Tax above AED 375k. Standard TP for intra-group transactions.

P2
Role 06

Pillar Two Jurisdiction

Where the group is above EUR 750m, UAE jurisdiction counts in GloBE effective tax rate calculations and QDMTT applies. Shapes whether QFZP 0% is actually valuable or neutralised by top-up at UPE level.

Why multinationals choose The Tax Lead

Group-Grade Thinking. Boutique-Firm Pricing.

🏛️ Live Multinational In-House Experience

Current senior tax leadership at a KKR & GIP-backed hyperscale infrastructure multinational, covering an 8-country European perimeter plus the US. The thinking we bring to your UAE side is current and group-grade, not textbook.

🌐 Pillar Two Working Knowledge

Pillar Two readiness, GloBE effective tax rate modelling, QDMTT, CbCR — part of the in-house day job. Which means when your group needs Pillar Two work on the UAE side, we don’t need to learn it on your file.

🤝 Big 4 Coordination Capable

Comfortable working alongside Big 4 teams where they lead on complex global structuring — and taking the UAE-side work off their plate at a fraction of their rates. We’ve been on both sides of the table.

👤 OHT at Group Standard

For mid-market groups, our Outsourced Head of Tax service gives you a senior tax function in UAE on monthly retainer. The alternative is a USD 150k+ hire or Big 4 project rates. OHT sits between them at group-standard quality.

💷 Fixed-Fee Compliance

Annual CT return, VAT returns, TP documentation on fixed fees agreed up front. No surprise invoices — which matters when your CFO is forecasting group tax spend.

🔗 UK + UAE in One Engagement

UK-sister practice at thetaxlead.co.uk means UK-side group work (UK CT, PSA, UK TP, UK Pillar Two input) handled by the same team. One engagement, one invoice — important when the group has material UK presence.

Common questions

Multinational UAE Tax, Answered.

What size of multinational group do you work with?
Our sweet spot is mid-market multinationals (approximately USD 50m to USD 1bn consolidated revenue) with UAE operations as part of a broader group, and large multinationals (above EUR 750m consolidated revenue) in Pillar Two scope. We also work with PE-backed portfolio companies, pre-IPO groups, and family-controlled multinationals. We’re comfortable at the sophistication level that a Group Head of Tax or SVP Tax expects.
Are you in scope for Pillar Two work on UAE entities?
Yes. Current in-house European tax leadership experience includes Pillar Two readiness, GloBE effective tax rate modelling, QDMTT compliance and CbCR notifications. We handle Pillar Two from the UAE entity side as part of UAE CT engagements, and coordinate with the group’s Pillar Two lead at Ultimate Parent Entity level.
Can you handle OECD Master File and Local File?
Yes — both. Local File is required where UAE revenue is AED 200m+. Master File is required where consolidated group revenue is AED 3.15bn+ (approximately EUR 750m). We prepare both to OECD Chapter V standard, with external benchmarking studies, functional analysis, interquartile range work — the full documentation set that holds up at FTA audit or Mutual Agreement Procedure. See our transfer pricing service page for the full scope.
Can you be the UAE-side tax lead for our group?
Yes. Many of our multinational engagements are structured as Outsourced Head of Tax — monthly retainer, UAE entity sign-offs, Pillar Two coordination, board papers, CFO sparring partner. We act as the UAE-side tax function reporting to your Group Head of Tax or CFO. 30-day notice, scope flexes with activity.
Do you work alongside our Big 4 tax team?
Yes — and often. Big 4 is the right choice for certain engagements (large statutory audits with integrated tax provision, complex multi-jurisdictional structuring across 15+ countries, specialist controversies). We handle the UAE-side ongoing work — CT return, QFZP, VAT, bookkeeping — at a fraction of Big 4 fees and higher senior-adviser access, and coordinate directly with your Big 4 team on anything they lead on.
What’s your approach to group tax risk management?
Risk register maintained alongside the compliance calendar. Quarterly board papers flag the exposures. Pre-filing position reviews on major returns. Clear escalation path to the Group Head of Tax or CFO on anything above an agreed threshold. The approach is designed around what in-house groups actually need, because we’ve built the same frameworks in-house ourselves.
How do you handle UAE entities that are part of a larger Pillar Two group?
The UAE QDMTT (Qualified Domestic Minimum Top-up Tax, effective 2025) means UAE jurisdiction effective tax rate must be at least 15% for in-scope groups — which can neutralise the QFZP 0% benefit at group level if the group would otherwise pay a top-up to the Ultimate Parent Entity jurisdiction. We model the QDMTT exposure vs the QFZP benefit so the group knows the real after-top-up outcome, not just the UAE-only picture.
Can you support UAE-side tax DD on an acquisition?
Yes — buy-side and sell-side. UAE-side tax due diligence covers CT compliance history, QFZP position, VAT returns and open items, TP documentation, Economic Substance filings, FTA correspondence. SPA tax clauses, warranty indemnity scoping, closing-mechanism tax points — all handled through to signing and completion.
What about treasury centres and intra-group financing in UAE?
Treasury & financing services to related parties is an explicit QFZP qualifying activity — which makes UAE attractive for group treasury-centre structures (provided QFZP conditions, particularly substance, are met). Interest deductibility, interest limitation rules, thin cap, arm’s length pricing on intra-group loans — all handled as standard. Common engagement type.
How do fees work for multinational engagements?
Three options. (1) Project engagements (M&A, restructure, Pillar Two readiness) on fixed fee. (2) Annual compliance (CT, VAT, TP) on fixed annual fee. (3) OHT retainer on monthly fee with 30-day notice. For large multinationals we often blend all three. All fees agreed in writing before any work begins. No open-ended time-and-materials unless you specifically ask for it.
