Your obligations — by size

Not Every UAE Business Needs Everything.

UAE TP obligations stack by size and relationship. Here’s what applies when — so you can see where your business sits before we scope anything.

Every taxable person

Arm’s Length Principle

Every related-party and connected-person transaction must be priced on an arm’s length basis. This applies from the first dirham — no threshold, no exemption. If you have one related party and one intra-group invoice, you’re in scope.

Related-Party Disclosure Form

Where aggregate related-party transactions in the tax period exceed AED 40 million, the Related-Party Disclosure form must be filed with the CT return. Covers nature of transactions, counterparties, amounts, pricing methods.

Connected Persons Disclosure

Payments or benefits to Connected Persons (owners, directors, officers and their relatives) above AED 500,000 in aggregate must be disclosed and justified at arm’s length. Non-arm’s length amounts can be disallowed.

Local File Required

A Taxable Person with UAE-connected revenue of AED 200 million or more in a tax period must maintain an OECD-standard Local File — detailed functional analysis, controlled transactions, financial analysis and benchmarks for UAE-side activities.

Master File Required

Where the multinational group’s consolidated revenue is AED 3.15 billion (approximately EUR 750 million) or more, an OECD-standard Master File must also be maintained — group structure, business description, intangibles, intra-group financing, consolidated financials.

The five OECD methods

Pick the Right Method for the Transaction.

The UAE TP regime recognises the five OECD-prescribed methods. The right method for your intra-group transactions depends on what’s being transacted and what reliable comparables are available.

CUP
Comparable Uncontrolled Price

Direct price comparison with third-party transactions. The gold standard where good comparables exist.

RPM
Resale Price Method

Gross margin from onward resale to independent parties. Common for distribution businesses.

CPM
Cost Plus Method

Cost base plus arm’s length mark-up. Common for intra-group services and manufacturing.

TNMM
Transactional Net Margin

Net profit indicator against a comparable base. The most widely used UAE method in practice.

PSM
Profit Split Method

Allocation of combined profit between related parties. Used for integrated or unique-contribution transactions.

Why choose The Tax Lead for TP

In-House TP Depth, Not a Template.

🏛️ Live Multinational TP Experience

Current in-house European tax leadership includes daily TP governance across UK, Ireland, Netherlands, Germany, Italy, France, Spain and the US — management services, intra-group financing, cost-sharing, royalties. We work with real TP, not textbook examples.

🎓 OECD-Aligned by Default

UAE TP rules follow the OECD Guidelines. Our policies are built OECD-standard from the start — so when your group grows into Master/Local File territory or starts facing cross-border questions, nothing has to be rebuilt.

🏝️ QFZP Specialism

TP is a specific QFZP condition. Many QFZP positions fail here — adequate TP documentation is non-negotiable. We handle QFZP review and TP policy together, as the single engagement they should be.

💷 Scaled Fixed Fees

Short-form TP policy for small SMEs. Full OECD Master and Local File for large groups. Fees scaled to the engagement — you’re not paying Big-4 Local File fees for a two-entity group.

🔄 Cross-Border Coordination

UK/EU/India/US parents have TP regimes of their own. One policy aligned to all regimes is cheaper and safer than separate policies that may contradict — which is where TP disputes start.

⚡ Audit-Ready Output

Every policy memo and documentation set is written as if we expect it to be read by the FTA — because sooner or later, as the UAE regime matures, it will be. No decorative language, no padding, just the position and the evidence.

Common questions

UAE TP, Answered.

Does UAE TP really apply to my small owner-managed business?
Yes — the arm’s length principle applies from the first dirham. There’s no de minimis threshold on arm’s length itself. Thresholds exist only for the documentation and disclosure obligations: AED 40m for the Related-Party Disclosure form, AED 500k for Connected Persons, AED 200m for a Local File, AED 3.15bn group for a Master File. But the underlying rule — price your related-party and connected-person transactions at arm’s length — applies to every taxable person. Owner-manager fees and director remuneration are the usual flashpoints.
What’s the difference between Related Parties and Connected Persons?
Both are defined in UAE CT law. Related Parties cover group entities and persons with significant ownership or control relationships (typically 50% direct or indirect). Connected Persons cover the owners, directors and officers of the Taxable Person (and their close relatives) — so director salaries, bonuses, loans and benefits to shareholders fall under the Connected Persons rules. Both are tested against arm’s length.
Which OECD method should I use?
The one most appropriate to the facts, in this order of preference: CUP first where good uncontrolled comparables exist (direct price match). If not, Resale Price for distribution, Cost Plus for services and manufacturing. If neither works, TNMM (the most widely used in practice because it needs the least detailed data). Profit Split for integrated or unique-contribution transactions. We make the method selection with written reasoning for each transaction category.
Do I need a benchmarking study?
Where you have more than token intra-group pricing, yes. The arm’s length range comes from comparable third-party transactions — without a benchmarking study, you have no evidence that your pricing is actually arm’s length. For SMEs with limited flows we may do a lighter-touch benchmark; for Local File territory we do a full database study with screening, rejection reasons documented, and interquartile range output.
I have a QFZP — is TP optional?
No — arm’s length transfer pricing is condition #4 of the QFZP five-condition test. Fail it and the whole business reverts to 9% for five years. For QFZPs we treat TP as non-negotiable — even if your related-party flows are modest, a documented TP policy is part of defending the 0% position. We often package QFZP review and TP policy as a single engagement.
What’s the AED 40m related-party disclosure threshold?
Where aggregate related-party transactions in a tax period exceed AED 40 million, you must complete and file the Related-Party Disclosure form with your Corporate Tax return. The form captures counterparties, transaction nature, values and TP methods used. We handle the form as part of annual CT compliance where it’s in scope.
Do I need both Master File and Local File?
Not always. Local File is triggered by UAE Taxable Person revenue of AED 200m or more. Master File is triggered by the group’s consolidated revenue (AED 3.15bn+, approximately the EUR 750m Pillar Two threshold). You can be in scope for Local File without Master File. Groups above EUR 750m are in scope for both and typically for CbCR too.
How does UAE TP interact with my UK group’s TP?
Both are OECD-aligned, which helps. But alignment doesn’t mean identical — the UK group’s TP position needs to be consistent with how the UAE entity is pricing its own flows, otherwise you create double taxation risk. We design UAE policy as part of the group’s broader TP framework, not as a standalone document — particularly important for groups where our UK practice is also involved.
Can you take over an existing TP policy from another adviser?
Yes. We review what’s there, assess whether it’s defensible against current UAE and OECD standards, update where needed, and continue the annual rollforward going forward. In our experience many existing UAE TP policies are either template-driven (not fit for your facts) or over-engineered (paying Big-4 fees for SME needs). Both are fixable.
What happens if the FTA challenges our TP position?
We handle it. Pre-filing position review minimises the chance of challenge in the first place. If an enquiry comes in, we respond with the policy documentation, benchmarks and reasoning already prepared. If the enquiry escalates, we manage the audit end-to-end, including MAP (Mutual Agreement Procedure) or APA (Advance Pricing Agreement) routes where applicable. Early engagement makes the measurable difference.
