Specialist deep-dive

Qualifying Free Zone Person: The 0% Prize, Protected.

The 0% rate on qualifying income is the single biggest planning opportunity in UAE CT — but one slip on the conditions and the whole year falls to 9%. We review the position properly.

What it takes to be a QFZP

Being incorporated in a Free Zone is not enough. The regime demands five conditions in combination — adequate substance in the Free Zone, qualifying income only (above the de minimis threshold), arm’s length transfer pricing with related parties, audited financial statements, and no election out of the regime.

We work through each condition against your actual business, document the position in a QFZP memo you can rely on at FTA level, and tell you plainly where there’s risk — and what to change.

De minimis rule Non-qualifying revenue must stay below the lower of 5% of total revenue OR AED 5m. Exceed either, and the whole business reverts to the 9% regime for the rest of the tax period plus the next four tax periods. This is where most QFZP positions quietly fail.

Why choose The Tax Lead for CT

CT Expertise With UK and Multinational Depth.

UAE Corporate Tax is a new regime — but corporate tax itself is not. Our advantage is the depth of UK and in-house multinational tax experience we bring to it.

🎓 UK CT Foundation

City-of-London trained corporation tax specialist background. Many UAE CT concepts — grouping, loss relief, participation exemption, interest restriction — map directly from UK CT. We’ve applied them for years.

🌐 Pillar Two Experience

Current in-house European tax leadership responsibility at a KKR/GIP-backed PE multinational includes Pillar Two readiness — GloBE rules, QDMTT, Country-by-Country integration. We bring that same depth here.

🔗 Cross-Border View

UAE CT doesn’t sit in isolation. UK HMRC, participation exemption, tax treaty position, Controlled Foreign Company rules in the parent — we see the whole picture, not just the UAE return.

🏝️ QFZP Specialism

QFZP review is the single most-requested advisory piece on our books. We’ve written the memos, modelled the de minimis, and walked clients through adequate substance repositioning.

💷 Fixed Fees

Written fee quote before any work begins. Monthly or annual retainer options for ongoing CT compliance. No open-ended time-and-materials unless you specifically ask for it.

Common questions

UAE Corporate Tax, Answered.

Do I need to register for UAE Corporate Tax even if my income is below AED 375,000?
Yes. Registration is a mandatory FTA requirement for taxable persons — the AED 375,000 threshold is only about the rate applied to your taxable income (0% below, 9% above). You still need to register and file. Natural persons (sole traders) are only in scope above AED 1m annual revenue, but once in, the same filing obligation applies.
I’m in a Free Zone — is my CT automatically 0%?
No. The 0% rate on qualifying income depends on meeting all five Qualifying Free Zone Person (QFZP) conditions — adequate substance, qualifying income only (within the de minimis), arm’s length transfer pricing, audited financials, and no election out. Being incorporated in a Free Zone alone does not qualify. We prepare a QFZP memo that documents your position against each condition.
What’s the de minimis rule and why does it matter so much?
The de minimis rule allows a QFZP to earn a small amount of non-qualifying revenue without losing its 0% status — up to the lower of 5% of total revenue OR AED 5m. Exceed either threshold, and the whole business reverts to the 9% standard rate for the rest of the tax period and the next four tax periods. This is where most QFZP positions quietly fail — a small amount of mainland work can disqualify years of planning.
When is my CT return due?
Within 9 months after the end of your tax period. For most entities with a calendar year end, that means the 30 September filing deadline. We usually aim to file much earlier — so there’s time to address FTA queries without last-minute pressure.
Does Pillar Two affect my business?
Only if your group has consolidated revenue of EUR 750m or more in at least two of the last four financial years. For in-scope groups, a 15% effective tax rate applies through the GloBE rules and the UAE’s Qualified Domestic Minimum Top-up Tax (QDMTT). If you’re not sure whether you’re in scope, this is one of the first things we check on the Discovery Call.
I have a UK group — how do you handle both sides?
UK-UAE cross-border work is our core specialism. We coordinate the UAE CT return and QFZP position with the UK CT compliance (through our UK practice at thetaxlead.co.uk), handle the participation exemption on UK dividends from the UAE, consider UK CFC rules on your UAE profits, and align with Pillar Two treatment on both sides. One team, both regimes.
Can you deal with my existing accountant / auditor?
Yes. Many of our CT engagements run alongside your existing bookkeeper or auditor — we handle the specialist tax piece, they handle the day-to-day. We prepare audit-ready working papers, liaise directly with your auditor, and send clean handovers. No turf.
What if I missed a CT registration deadline?
We handle the position with the FTA, apply for the registration retrospectively, and work to minimise administrative penalties. In some cases a voluntary disclosure framing helps — we’ll advise on the right route based on your facts. Don’t compound it by waiting longer; the earlier we engage, the better the outcome.
How does your fixed fee work?
We agree the fee in writing within two business days of the Discovery Call, based on your activity, structure and the specific scope. Once agreed, that’s what you pay — no additional charges unless the scope itself changes (which is always discussed and agreed in writing first).
