Sub-sectors we cover

Six Shapes of Tech Business. Six Tax Shapes.

Tech is one of the most tax-nuanced sectors because value sits in IP, revenue sits in software or digital-service streams, and nexus doesn’t follow physical presence. Each sub-sector has its own set of answers.

SaaS & Software Companies

Subscription revenue · IP-heavy

B2B or B2C SaaS products with recurring revenue, hosted software and IP sitting under one or more group entities. Revenue recognition under IFRS 15 and VAT treatment on digital services are the two most-asked questions.

UAE tech tax map

Six Tax Touchpoints on a UAE Tech Business.

UAE tech tax reads differently from traditional business tax because value creation sits in intangible places — IP, software code, data, platforms. Here’s where the tax actually bites.

IP
Where it sits

Qualifying IP for QFZP

For QFZP 0% status on IP income, your IP must meet the “qualifying IP” definition and the modified-nexus requirement. Software and patents can qualify; marketing IP and brand assets generally cannot.

5% / 0%
Digital VAT

VAT on Digital Services

B2B digital services exported to non-UAE customers are typically zero-rated. B2B UAE and B2C sales to UAE customers are standard-rated at 5%. Place-of-supply rules decide which category your supply falls in.

PE
Nexus risk

Cross-Border Nexus & PE Risk

Where your dev team sits in India but your IP sits in UAE, you need to design for permanent establishment risk in the dev-team country. Same if your UAE entity has customers via platforms in other jurisdictions.

9%
Standard CT

UAE Corporate Tax on Tech Revenue

Non-qualifying tech revenue (mainland customers, non-qualifying activities) falls under the standard 9% rate above AED 375,000. SaaS revenue recognition under IFRS 15 (performance obligations, variable consideration) matters for the base.

0%
Personal tax

Founder Personal Income Tax

No personal income tax or CGT in the UAE on employment income, dividends, interest or capital gains. Powerful for founders — but home-country rules (US global tax, UK SRT, India) may still apply on specific items.

N/A
No credit

No R&D Tax Credit (Currently)

UAE has no R&D tax credit regime as of writing. Where founders came from UK (SME R&D or RDEC), US (R&D credit) or India (DSIR), home-country R&D positions still apply if the entity has footprint there.

How we help

From First Line of Code to Exit Event.

IP strategy & structuring

  • IP ownership designWhich entity in the group holds which IP, mapped against where the development actually happens (modified nexus for QFZP qualifying IP).
  • IP migration planningWhere IP sits elsewhere today (UK Ltd, Delaware C-corp, Indian subsidiary) and needs to move to a UAE entity — the tax cost on exit, the valuation, the structuring.
  • Cost-contribution / cost-sharingWhere multiple group entities contribute to developing IP, cost-sharing arrangements that document the economic contribution.
  • Licensing policyIntra-group licence agreements, royalty rates benchmarked to third-party comparables, flow-through documentation.

Revenue, VAT & place-of-supply

  • IFRS 15 revenue recognitionSaaS performance obligations, contract modifications, variable consideration, contract assets & liabilities — properly booked for both CT and investor reporting.
  • Digital services VATPlace-of-supply tests for B2B vs B2C digital services, zero-rated export vs standard-rated UAE, non-resident digital VAT registration where applicable.
  • Marketplace & commission VATAgent vs principal classification, VAT on commission vs underlying goods, VAT reporting on GMV flows.
  • E-commerce & Designated ZoneImport VAT, Designated Zone treatment where applicable, 3PL warehousing VAT, cross-emirate flows.

Founder, equity & team

  • Founder tax positionPersonal residence (UK SRT, US global, India), equity vesting & exit, SAFE/convertible treatment, co-investment vehicles.
  • UK FIG regime optimisationFor founders arriving in UAE from UK or returning to UK — 4-year Foreign Income & Gains window, elections, structuring around the clock.
  • Employee equity & optionsUAE-based employee option structures, phantom equity, exit-event payouts, team members in multiple jurisdictions.
  • Distributed team structuringDev team in India, sales team in Europe, HQ in UAE — PE risk analysis, inter-company structure, employment vs contractor classification.

Cross-border, Pillar Two & exit

  • Nexus / PE risk analysisWhere you have activity, where you have risk, where you might have a PE. The questions investors and acquirers will ask in diligence.
  • Pillar Two readinessWhere the group is above or approaching EUR 750m consolidated revenue — GloBE effective tax rate, QDMTT exposure.
  • Pre-exit tax cleanup18–24 months before a sale or IPO — data-room-ready historical tax position, open-item resolution, structuring the sale.
  • Transaction tax supportBuy-side or sell-side tax DD, SPA tax clauses, closing accounts items, tax indemnity drafting input.
Why choose The Tax Lead for tech

Tech-Aware Tax, Not Tax Applied to Tech.

💻 Tech-Native Understanding

We understand SaaS metrics (ARR vs MRR, cohort retention), e-commerce economics (CAC, LTV, 3PL costs), platform GMV vs net revenue mechanics, and AI/ML development cycles — so our tax advice fits how the business actually works.

🌐 Cross-Border Nexus Expertise

Tech businesses are inherently cross-border — dev team in one country, IP in another, revenue from a third, founders in a fourth. Current in-house European tax leadership gives us daily cross-border nexus thinking.

🏝️ QFZP for Tech & IP

QFZP for tech businesses turns on qualifying-IP income and the modified-nexus requirement — specialist detail most generalists miss. We’ve mapped multiple tech client positions against the qualifying IP rules.

👥 Founder-First Thinking

Tech is a founder-driven sector. We think about the founder’s personal tax position (UK FIG, US global, India) alongside the company’s UAE position — the two can’t be designed separately.

💷 Fixed-Fee Scalable

Pre-seed and seed-stage: lean, fixed-fee advisory. Series B/C and scale-up: full OHT retainer or project-based. Pre-exit: scoped tax readiness programme. Fees scale with where you are.

🔗 UK + UAE Sister Practice

Our UK practice at thetaxlead.co.uk covers UK CT, R&D claims (SME & RDEC), EIS/SEIS and the full UK tech-tax stack. One team covers UK side alongside UAE — which the typical UAE-only adviser cannot do.

Common questions

UAE Tech Tax, Answered.

Can my SaaS company get 0% UAE Corporate Tax via QFZP?
Potentially — but IP-income QFZP qualification is particularly strict. Your IP must meet the “qualifying IP” definition (patents, software, copyrighted software generally yes; marketing IP, trademarks, brand assets generally no). You must satisfy the modified-nexus requirement — broadly, the proportion of IP income that qualifies is tied to the proportion of qualifying R&D expenditure undertaken by the UAE entity. If your dev team is in India and the UAE entity just owns the IP, qualifying income is likely limited. We model this against your actual development footprint.
Do I charge UAE VAT on SaaS sold to customers abroad?
Usually no, if the customer is a non-UAE business. B2B digital services exported to a non-UAE recipient are typically zero-rated for UAE VAT — which means you don’t charge VAT on the sale but can still recover input VAT on your costs. B2B sales to UAE businesses are standard-rated at 5%. B2C sales to UAE consumers are standard-rated. B2C sales to overseas consumers depend on specific place-of-supply rules. We map each revenue stream.
Where should my IP sit if I’m setting up in the UAE?
It depends on where development happens and where you want value to accrue. For QFZP qualifying-IP status, modified nexus means the UAE entity needs to be where the R&D expenditure happens. If your dev team is UAE-based, hold IP in a UAE Free Zone entity. If your dev team is split (UAE + India + UK), you may need a cost-contribution arrangement. If dev is entirely overseas, UAE IP ownership gives you less QFZP benefit — and the IP should probably sit where the dev is.
I have a UK Ltd company for my SaaS. Should I migrate to UAE?
Not always. If you’re UK-resident with UK clients, UK Ltd makes sense (and R&D credits are valuable). If you’re moving yourself and the business to UAE, migrating the UK Ltd (or inserting a UAE holding company) can be sensible — but needs careful tax structuring (UK exit charge on IP, UK ongoing CFC rules). If you keep the UK Ltd and add a UAE subsidiary, structuring the inter-company flows (dev services, licence, management fees) correctly is the whole engagement. We model each option.
What about my team in India (or Pakistan, or Egypt)?
Dev teams in India, Pakistan, Egypt, Philippines and similar are common for UAE-based tech companies. Two main considerations: (1) permanent establishment risk in the dev-team country — if the team is substantive, the UAE company may have a PE there with local tax exposure; (2) employment vs contractor structure — employment carries local tax, labour and social-insurance obligations that need to be managed. We work through both for every distributed-team setup.
Does the UAE have an R&D tax credit?
As of writing, no — there is no UAE R&D tax credit regime. The UAE doesn’t need to incentivise R&D the way countries with higher headline CT rates do, because the headline 9% rate (and 0% on QFZP qualifying income) is already a strong incentive. If your group has UK, US or Indian footprint and R&D happens there, home-country R&D credits (UK SME R&D or RDEC, US R&D credit, India DSIR) still apply. Our UK practice handles UK R&D claims.
How do SAFEs and convertible notes get taxed in UAE?
UAE has no CGT or personal income tax, so for founders personally the issuance and later conversion of SAFEs and notes is not taxable in UAE itself — but founder-level home-country rules may apply (particularly US global taxation on citizens). At company level, debt vs equity classification affects balance-sheet treatment and interest deductibility (where interest is paid). The specific SAFE terms matter — we review them case by case.
What’s the UAE Golden Visa for tech specialists?
The 10-year Golden Visa has a “specialists” category for people with specific skills recognised by UAE authorities — which has included AI/ML, software engineering, data science and similar deep-tech skills. Separate category from the investor-visa route via property. The eligibility rules are specialist and change over time; we introduce you to UAE immigration counsel for the application itself.
Can you help with investor tax due diligence?
Yes — both sides. For founders raising a round, we help prepare the tax section of the data room, resolve any open items, and respond to buy-side DD questions. For PE/VC investors assessing a UAE tech target, we do independent buy-side tax DD, structuring input and SPA tax-clause drafting. Our in-house multinational tax experience makes us comfortable at the sophistication level investors expect.
Should my e-commerce brand register in a Designated Zone?
If you’re importing physical goods and operating B2B warehousing or distribution, Designated Zones (JAFZA, DAFZA and some others) can give you a strong VAT advantage — supplies of goods between Designated Zones are outside the scope of UAE VAT. For pure online D2C businesses selling to UAE consumers, mainland VAT applies either way, so a Designated Zone is less decisive. We model both based on your actual sales channel and supply chain.
