UAE VAT registration in one paragraph. Register with the FTA via EmaraTax within 30 days of either exceeding AED 375,000 taxable supplies in the past 12 months or expecting to exceed in the next 30 days. Voluntary registration available from AED 187,500 taxable supplies or expenses. Non-residents making UAE taxable supplies have no threshold — mandatory from the first supply. Late registration triggers an AED 20,000 penalty. Group registration available for related UAE entities under common control (two or more legal persons, resident, same beneficial ownership). Deregistration mandatory if taxable supplies fall below AED 187,500 and voluntary thereafter.
1. The two thresholds and what they mean
UAE VAT has two registration thresholds — and most SMEs get the second one wrong. The mandatory threshold is AED 375,000 of taxable supplies in any rolling 12-month period, or expected to be exceeded in the next 30 days. Taxable supplies means standard-rated (5%) plus zero-rated supplies — zero-rated counts.
The voluntary threshold is AED 187,500 of either taxable supplies or taxable expenses. The expenses leg is often missed. A UAE start-up with no revenue yet but AED 200,000 of office rent, software and professional fees already crosses the voluntary registration eligibility threshold — useful if the start-up incurs significant pre-trading input VAT it wants to recover.
2. The 30-day window and the AED 20,000 penalty
Registration must be filed within 30 days of either:
- The end of the month in which taxable supplies exceeded AED 375,000 in the past 12 months, or
- The date on which you reasonably expected taxable supplies to exceed AED 375,000 in the next 30 days.
The second limb catches the launch scenario — a Free Zone company signing a six-figure contract on day one has to register even though no supplies have yet been made. The reasonable-expectation test is objective; FTA audits do apply it.
Late registration triggers an AED 20,000 fixed administrative penalty under Cabinet Decision 49 of 2021. It applies regardless of whether any VAT was actually due. For a small Free Zone company that crossed the threshold by AED 50,000, the penalty often exceeds the VAT liability itself.
3. Non-resident businesses — no threshold
A business established outside the UAE that makes taxable supplies in the UAE must register from the first supply. There is no threshold. The place-of-supply rules determine whether a supply is "in the UAE" — for goods, generally where the goods are at the time of supply; for services, generally where the customer is established (B2B default rule).
Common non-resident registration triggers:
- Overseas e-commerce selling goods delivered into the UAE (if the customer isn't the importer of record)
- Overseas service providers whose supplies fall outside the reverse-charge mechanism
- Overseas property owners letting out UAE commercial property
- Overseas entities holding UAE Free Zone subsidiaries where intra-group service fees cross the UAE border
4. VAT group registration
Two or more UAE-resident legal persons that are "related" (50%+ shareholding or voting rights, or de facto control) can apply to the FTA for VAT group registration. The benefits:
- Intra-group supplies between members are disregarded for VAT purposes — no 5% on intercompany fees.
- A single consolidated VAT return filed by the representative member.
- Partial-exemption input VAT is calculated across the group as a whole.
The constraints:
- Only UAE-resident entities (incorporated or managed in the UAE) qualify. Overseas parent companies cannot be in the group.
- Natural persons (sole traders) cannot be VAT group members.
- The representative member is jointly and severally liable for VAT debts of the group.
- De-grouping requires a separate application and is retrospective in some cases.
5. The EmaraTax registration process
FTA registration goes through the EmaraTax portal. Documents required:
- Valid UAE trade licence (not expired)
- Memorandum of Association or equivalent constitutive document
- Passport copies of all shareholders and authorised signatories
- Emirates ID of UAE-resident shareholders / signatories
- Bank account IBAN letter (certified by the bank)
- 12-month supplies and purchases schedule (actual for retrospective registrations, projected for prospective)
- Proof of registration abroad (for non-residents) and appointment of a tax representative if required
Processing typically takes 20 business days from a complete application. Incomplete applications are returned, resetting the clock. The TRN is a 15-digit number starting with 100 (standard) or 500 (TRN-only for payment references in specific scenarios).
6. Deregistration — mandatory and voluntary
Deregistration is mandatory if:
- Taxable supplies for a continuous 12-month period fall below AED 187,500, and
- You don't expect to exceed AED 187,500 in the next 30 days, or
- The business ceases trading or the entity is dissolved.
Deregistration is voluntary if taxable supplies fall between AED 187,500 and AED 375,000 after at least 12 months of registration. Below mandatory and you've been registered less than 12 months, you can't deregister voluntarily — you're stuck for the balance of the year.
Late deregistration triggers a separate penalty of AED 1,000 per month, capped at AED 10,000. Audit practice: the FTA runs occasional deregistration-eligibility sweeps against public filings — don't rely on inaction.
7. Six registration pitfalls we see most often
- Missing the expectation test — crossing the threshold "next month" based on a signed contract, but not registering until the invoice is raised. The 30-day window started when the expectation became reasonable.
- Confusing zero-rated and exempt — treating residential rental income as counting toward the threshold. Residential rental is exempt (except first supply of new residential). Zero-rated (exports, international transport, qualifying metals) counts; exempt doesn't.
- Dormant holding companies charging related-party management fees above the threshold without realising. Classic AED 20,000 penalty trigger.
- VAT group applications filed too late — group registration is effective from the start of the next tax period after approval, not retrospectively.
- Non-resident e-commerce continuing to sell into the UAE after the first supply without local registration. The AED 20,000 penalty plus VAT and interest can wipe out margin on a growing channel in months.
- Forgetting Economic Substance (ESR) interaction — some holding structures qualify for Economic Substance exemption but trip the VAT registration threshold through intra-group fees. The two regimes are separate.
