Eight Scenarios.Illustrative. Not Individual Files.

The scenarios below describe the kinds of tax matters we handle across our six audience groups. They are illustrative composites, not references to specific clients or specific past engagements, and the figures are stylised examples — your situation will be scoped and quoted on its own facts.

MultinationalsPillar TwoQDMTT

European infrastructure group modelling UAE Pillar Two interaction before expansion

Illustrative scope: Pillar Two in-scope group above EUR 750m revenue
Situation

A European-headquartered infrastructure group above the Pillar Two EUR 750m threshold is planning a UAE regional HQ. QFZP 0% looks attractive on paper, but the UPE-level IIR interaction with a UAE 0% effective rate has not been modelled, and the interaction with the UAE QDMTT is unclear.

What the engagement looks like

Model UAE jurisdiction effective tax rate under GloBE rules; calculate QDMTT exposure; map any top-up as between QDMTT, IIR and UTPR; produce a board paper for the audit committee covering a 3-year post-Pillar Two forecast.

Typical outcome shape

Group proceeds with a Free Zone subsidiary with QFZP election preserved for genuinely qualifying income, QDMTT compliance built in from year one. Where QDMTT applies, top-up tends to be captured in the UAE rather than at the UPE, subject to the UPE jurisdiction’s own rules.

UK ExpatsUK-UAEPre-Exit

UK founder planning a Dubai move with an eventual UK return

Illustrative scope: multi-year SRT and FIG window planning
Situation

Founder of a UK trading business planning the Dubai move, with a likely return to the UK after 5-7 years. The engagement needs to cover SRT management, UK CT exit considerations, UAE Free Zone setup, and FIG window planning for an eventual return.

What the engagement looks like

Multi-year SRT run with departure timing optimised; UK ltd position reviewed (hold vs MVL); UAE Free Zone HoldCo established; UAE TRC obtained once the 183-day threshold is met; FIG eligibility (non-UK-resident for the 10 consecutive tax years immediately prior to a future return) tracked year on year.

Typical outcome shape

Client resident in Dubai, non-UK-resident under SRT, UAE TRC in hand. On an eventual UK return 10+ years later, FIG relief should be available on qualifying foreign income and gains for 4 years, provided conditions remain met.

India-UAELRSPOEM

Indian founder relocating to Dubai after a prior adviser mis-set the POEM footprint

Illustrative scope: UAE substance remediation and DTAA position
Situation

A Mumbai-based tech founder has set up a UAE Free Zone company through another adviser. Board meetings are being held in India, the CEO is still spending 180+ days a year in India, and the structure is at material POEM risk under Indian tax law.

What the engagement looks like

Re-scope UAE substance: board composition, resident UAE director, documented board meetings held in the UAE, residency pattern restructured, documentary trail built. India-UAE DTAA treaty residence certification (TRC) applied for once substance supports it.

Typical outcome shape

UAE sub positioned to pass POEM with documentary evidence, UAE TRC obtained, DTAA relief claimed on qualifying flows. The Indian tax position depends on Indian ITAT practice and the facts of each case; nothing on this page is an opinion on your position.

Free Zone & SMEsQFZPSBR

IFZA SME comparing Small Business Relief against a QFZP election

Illustrative scope: SBR vs QFZP modelling for a sub-AED 3m SME
Situation

IFZA-based trading SME with revenue tracking under AED 3m. Prior adviser has recommended QFZP election. Our review suggests Small Business Relief may be the better fit for the next three years given the trading-income profile and the operating-model substance test.

What the engagement looks like

Full QFZP 5-condition analysis; 3-year revenue projection against the AED 3m SBR cap; modelling of SBR savings against the QFZP alternative (qualifying income at 0% but non-qualifying at 9%); written recommendation with election mechanics.

Typical outcome shape

Where SBR fits the facts, the SME elects SBR for the current year and each year revenue stays below AED 3m. For a sub-AED 3m SME with mostly non-qualifying income under the QFZP tests, SBR often beats QFZP over a 2-3 year horizon — but only after the modelling is done on your own numbers.

UK GroupsUK CFCSetup

UK group opening a UAE regional HQ with UK CFC exemption documented

Illustrative scope: UK CFC analysis plus UAE Free Zone setup
Situation

UK professional services group needs a UAE arm for MENA client-facing work. The UK board wants written UK CFC exemption analysis in hand before the UAE board approves the setup.

What the engagement looks like

UK CFC analysis under TIOPA 2010 Part 9A; where the facts support it, Chapter 11 Excluded Territories Exemption or Chapter 14 Tax Exemption documented, with the entity-level route selected on the facts. UAE Free Zone subsidiary incorporated; UAE residence visa for lead director; UAE CT & VAT registration; TP policy drafted on both sides from a single functional analysis.

Typical outcome shape

UAE arm trading, UK CFC exemption analysis signed off, UK side and UAE side under one engagement letter. The applicable CFC chapter depends on the UAE jurisdiction and the entity’s income mix.

Real EstateLRSGolden Visa

Indian family acquiring Dubai property under LRS with Golden Visa structuring

Illustrative scope: LRS slot management plus Golden Visa route
Situation

Indian family (two parents, two adult children) plan to acquire a Dubai Marina property for personal use plus eventual rental yield. LRS slot management, SPV decision, Golden Visa route structuring, and future rental-income planning all need to be sequenced.

What the engagement looks like

LRS slot stacking across family members (USD 250k per adult per FY); SPV vs personal-name analysis; Dubai Land Department process co-ordinated with partner; Golden Visa applications under the AED 2m property route (lead applicant triggers the visa, others added as dependents where eligible).

Typical outcome shape

Property acquired in the structure that fits the family’s long-term plan, Golden Visas obtained for eligible members, rental-income routing documented. Golden Visa eligibility and timing are set by UAE authorities, not us.

TechPre-ExitM&A

UAE SaaS group preparing a pre-exit tax cleanup ahead of a sale process

Illustrative scope: data-room-ready UAE tax position for M&A
Situation

UAE SaaS group being prepared for sale with multiple open UAE tax items — QFZP qualifying-activity analysis incomplete, VAT treatment of SaaS exports unclear, related-party disclosures not aligned with Local File.

What the engagement looks like

Full QFZP qualifying-income review with modified-nexus analysis for IP; UAE VAT zero-rated export position documented with worked examples; Local File rewritten to OECD Chapter V standard; FTA pre-filing position review; data room populated to M&A standard.

Typical outcome shape

UAE tax position moves from “unclear in several places” to “documented and defensible on each line” before the DD process starts. Buyer-side DD outcome is a function of DD quality on both sides, not any one adviser’s work alone.

Financial ServicesDIFCVARA

European crypto exchange planning dual DIFC + VARA presence

Illustrative scope: dual-regulator UAE structure with Pillar Two coordination
Situation

A European-parent crypto exchange needs a UAE presence combining a DIFC-regulated money-services arm with a VARA-licensed virtual-asset platform. Group revenue places it in Pillar Two scope.

What the engagement looks like

Entity structure design (DIFC for FS-regulated activity, VARA for VA activity, Free Zone for IP/treasury); ATAD CFC analysis on the European side; UAE QDMTT modelling; UAE Local File and Master File input; regulatory liaison alongside external legal counsel.

Typical outcome shape

Three-pillar UAE footprint ready for licensing applications, with Pillar Two implications modelled before, not after, structuring decisions are taken. Regulatory licensing timelines and outcomes are set by DIFC and VARA.
